These Terms of Service (“Terms”) form a legally binding agreement between you (“User,” “you,” or “your”) and ApexFlow (“ApexFlow,” “we,” “us,” or “our”). These Terms govern your access to and use of the ApexFlow platform, including all websites, applications, AI agents, automated tools, software systems, and related services (collectively, the “Services” ).

BY ACCESSING OR USING THE SERVICES, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE, YOU MUST NOT ACCESS OR USE THE SERVICES.

1. Introduction and Agreement to Terms

By using the Services, you acknowledge that you have read, understood, and agreed to these Terms. If you access the Services on behalf of an organization, you represent and warrant that you are authorized to bind that entity.

ApexFlow may update these Terms at any time. Updated Terms will be posted with a revised “Last Updated” date

YOUR CONTINUED USE OF THE SERVICES CONSTITUTES ACCEPTANCE OF THE UPDATED TERMS.

2. Eligibility and Compliance

To use the Services, you must:

• Be at least eighteen (18) years old, and
• Have the legal capacity to enter into binding agreements.

You further represent and warrant that you are not:
• a citizen or resident of a jurisdiction subject to sanctions, embargoes, or restrictions under applicable laws;
• included on any government sanctions or restricted party list;
• using the Services for or on behalf of any restricted entity or prohibited jurisdiction.

YOU ARE SOLELY RESPONSIBLE FOR ENSURING COMPLIANCE WITH ALL APPLICABLE LAWS.

ApexFlow reserves the right to restrict or block access where use may violate laws or expose ApexFlow to regulatory liability.

3. Nature of Services

ApexFlow provides non-custodial AI-driven trading automation tools, including:

• Evolving on-chain trading agents
• Yield and portfolio automation
• AI-generated trade logic
• Behavioral pattern learning
• Adaptive risk shielding
• Whale sync and social signals
• Emotion-based trading modes
• XP leveling and strategy evolution

ApexFlow does not custody funds, hold keys, or manage wallets.

YOU CONTROL YOUR OWN WALLETS AND PRIVATE KEYS. APEXFLOW CANNOT ACCESS, RECOVER, OR REVERSE ANY TRANSACTIONS.

The platform may integrate with third-party protocols. ApexFlow does not control or guarantee the security, reliability, or availability of such third-party systems.

4. Automated Features, AI Behavior, and Agent Outputs

ApexFlow includes automated tools, algorithmic agents, and AI-generated strategies that may provide trading suggestions, risk responses, or execution instructions.

AI outputs may be:

• Probabilistic
• Inaccurate
• Incomplete
• Erroneous
• Impacted by market conditions

YOU ACKNOWLEDGE THAT AI-GENERATED DECISIONS MAY NOT ALWAYS BE ACCURATE OR PROFITABLE.

YOU ARE SOLELY RESPONSIBLE FOR EVALUATING, ENABLING, OR ACTING UPON ANY AUTOMATED OUTPUT OR EXECUTION.

ApexFlow disclaims liability for trades or outcomes resulting from:

• AI agent personalities (Calm Analyst, Risk Hunter, Aggressive Sniper)
• Behavioral learning
• Emotional trading modes
• Automated decisions or executions

5. No Financial Advice

ALL INFORMATION, SIGNALS, STRATEGIES, AND AI OUTPUTS ON APEXFLOW ARE FOR INFORMATIONAL PURPOSES ONLY.

ApexFlow does not provide:

• Financial advice
• Investment advice
• Legal or tax advice
• Brokerage or fiduciary services

You acknowledge:

• ApexFlow is not your advisor or fiduciary;
• You are solely responsible for any trades you make;
• You understand the risks of using automated or AI-driven strategies.

6. Assumption of Risk

Trading digital assets involves substantial risks, including:

• Market volatility
• Liquidity issues
• Slippage
• Blockchain failures or downtime
• Smart contract vulnerabilities
• Cyberattacks, exploits, or hacks
• Gas spikes and failed transactions
• Regulatory changes

BY USING THE SERVICES, YOU ACCEPT ALL RISKS.

APEXFLOW MAKES NO GUARANTEE OF PROFIT, PERFORMANCE, OR OUTCOME.

You understand that:

• Losses may occur
• Automated strategies may behave unexpectedly
• AI decisions can be wrong
• Past performance does not guarantee future results

YOU USE THE SERVICES ENTIRELY AT YOUR OWN RISK.

7. User Responsibilities

You are solely responsible for:

• securing your wallet, private keys, recovery phrases, and devices;
• safeguarding your account and preventing unauthorized access;
• configuring strategies, agents, and automations responsibly;
• understanding that all strategies you activate or deploy are at your own discretion;
• complying with all legal, tax, and regulatory obligations in your jurisdiction.

ApexFlow has no obligation to monitor your strategies, settings, actions, or performance.

8. Prohibited Conduct

You agree NOT to:

• Use the Services for illegal activity, including money laundering, scams, or sanctions violations
• Manipulate markets (wash trading, spoofing, front-running, etc.)
• Interfere with the platform’s security or functionality
• Attempt to breach, reverse-engineer, or exploit ApexFlow systems
• Upload malware, harmful code, or unauthorized data
• Access accounts or wallets that are not yours
• Circumvent restrictions or misuse automation features

ApexFlow may investigate violations and cooperate with law enforcement authorities as necessary.

9. Accounts and Access

ApexFlow is a non-custodial system.

Access is tied to your wallet or authentication method.

ApexFlow cannot:

• Recover lost private keys
• Reverse executed transactions
• Restore access to compromised wallets

We may suspend or terminate access for violations of these Terms or any harmful activity.

10. Intellectual Property

All content, branding, algorithms, AI models, designs, and technology in the Services are owned by ApexFlow.

Users receive a limited, non-exclusive, non-transferable, revocable license to use the Services according to these Terms.

You may NOT:

• Copy
• Modify
• Distribute
• Reverse-engineer
• Create derivative works
• Exploit any part of the Services

without ApexFlow’s written permission.

11. Third-Party Services and Integrations

The platform may interact with:

• Decentralized protocols
• Third-party bots or agents
• Bridges, DEXs, liquidity platforms
• External applications

ApexFlow does not endorse, audit, or control third-party systems.

YOUR USE OF THIRD-PARTY SERVICES IS SOLELY AT YOUR OWN RISK.

ApexFlow disclaims all liability for third-party:

• Outages
• Bugs
• Security vulnerabilities
• Failures
• Financial losses

12. Staking, Rewards, XP, and Promotional Features

ApexFlow may offer:

• XP leveling systems
• Strategy evolution rewards
• Agent upgrades
• Promotional credits or incentives

Such features are:

• Not guaranteed
• Not financial returns
• Not investment contracts
• Subject to modification or removal at any time

ApexFlow does not guarantee that rewards, XP, or incentives will retain value or be permanent.

13. Social Features and Copy Logic

Users may access:

• Shared automations
• Community strategies
• Social signals
• Copy-trading style features

You acknowledge:

1. User-generated content is not verified or endorsed;
2. Strategies shared by others may be inaccurate or harmful;
3. You assume all risks when copying, following, or utilizing shared content.

ApexFlow is not responsible for losses resulting from user-generated or community-generated strategies.

14. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND.

ApexFlow disclaims all warranties, explicit or implied, including:

• Accuracy
• Reliability
• Performance
• Non-infringement
• Merchantability
• Fitness for a particular purpose

ApexFlow does not guarantee:

• Continuous access
• Error-free functionality
• Profitable outcomes
• Bug-free or hack-proof systems

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

APEXFLOW AND ITS TEAM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR SPECIAL DAMAGES, INCLUDING LOSS OF:

• Money
• Profits
• Trading capital
• Data
• Goodwill
• Business

FOR ANY CLAIM, APEXFLOW’S TOTAL LIABILITY SHALL NOT EXCEED ONE U.S. DOLLAR ($1).

16. Indemnification

You agree to indemnify and hold harmless ApexFlow and its affiliates from all claims, losses, liabilities, costs, and expenses arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any laws or third-party rights

ApexFlow may assume defense control of any matter subject to indemnification.

17. Force Majeure

ApexFlow is not responsible for failures caused by events beyond our control, including but not limited to:

• Hacks
• Cyberattacks
• Smart contract failures
• Blockchain outages
• Regulatory actions
• Internet failures
• Natural disasters
• War or civil unrest

During such events, obligations may be delayed or suspended.

18. Termination

ApexFlow may, at its discretion, restrict or terminate your access at any time.

Upon termination:

• Your license to use the Services ends immediately
• Relevant sections of these Terms will continue to apply

19. Modifications

ApexFlow may amend these Terms at any time. Changes become effective upon posting unless stated otherwise.

Continued use constitutes acceptance.

20. Governing Law and Dispute Resolution

These Terms are governed by the laws of England and Wales.

Disputes shall be resolved exclusively in the courts of England and Wales.

YOU AGREE TO WAIVE PARTICIPATION IN CLASS ACTIONS OR COLLECTIVE CLAIMS AGAINST APEXFLOW.

21. Severability & Entire Agreement

If any provision is deemed unenforceable, remaining provisions remain in effect.

These Terms constitute the entire agreement between you and ApexFlow.

22. Assignment

ApexFlow may transfer or assign these Terms at any time.

You may not assign any rights or obligations without our written consent.
